BYLAWS OF Siasi Tonga Church

A Nonprofit Religious Corporation

Article I: Name, Purpose, and Offices

Section 1.1 – Name

The name of the organization shall be Siasi Tonga San Mateo CA USA (hereafter “the Church”), a nonprofit religious corporation organized under the laws of the State of California.

Section 1.2 – Purpose

The Church is organized exclusively for religious, charitable, and educational purposes under Section 501(c)(3) of the Internal Revenue Code. The purpose of the Church is to:

  • Proclaim and teach the Gospel of Jesus Christ.

  • Provide opportunities for worship, fellowship, and spiritual growth.

  • Serve the local community through outreach, education, and charitable activities.

  • Conduct all activities in furtherance of its religious mission without private benefit.

Section 1.3 – Principal Office

The principal office of the Church shall be located in 363 El camino Real, suite 104 South San Francisco, CA 94080.

Article II: Statement of Faith

The Church affirms the following core beliefs:

  1. The Bible: The Holy Scriptures, both Old and New Testaments, are God’s inspired and authoritative Word.

  2. God: There is one God, eternally existing in three persons: Father, Son, and Holy Spirit.

  3. Jesus Christ: Jesus Christ is the Son of God, whose life, death, and resurrection provide the only means of salvation.

  4. Salvation: Salvation is a gift of God’s grace received through faith in Jesus Christ.

  5. The Church: The Church is the body of Christ, called to worship, serve, and proclaim the Gospel in the world.

  6. Baptism and Communion: The sacraments of baptism and communion are observed as instituted by Christ.

Article III: Membership

Section 3.1 – Eligibility

Membership in the Church is open to all individuals who:

  • Accept the Church’s Statement of Faith.

  • Commit to living a life consistent with the teachings of Jesus Christ.

  • Agree to abide by these bylaws and any additional church policies.

Section 3.2 – Admission

Prospective members shall complete an application and, if required by the Board of Directors or designated membership committee, participate in an orientation process.

Section 3.3 – Rights and Responsibilities

Members shall have the right to:

  • Attend worship services and participate in church activities.

  • Vote on matters presented at the annual business meeting.

  • Hold office in the Church, subject to eligibility criteria. Members are responsible for upholding the Church’s beliefs, supporting its mission, and participating actively in its life.

Article IV: Meetings of the Congregation

Section 4.1 – Annual Business Meeting

An annual business meeting of the membership shall be held each year at a time and place designated by the Board of Directors. At this meeting, members shall:

  • Receive reports on the Church’s ministry and finances.

  • Elect members to the Board of Directors, if applicable.

  • Conduct other business as deemed necessary.

Section 4.2 – Special Meetings

Special meetings of the membership may be called by the Board of Directors or by a petition signed by at least 10% of the members. Notice of such meetings must be provided at least 14 days in advance.

Section 4.3 – Quorum

A quorum for any meeting of the membership shall consist of at least 25% of the active membership or as otherwise defined by the Board.

Article V: Board of Directors

Section 5.1 – Authority and Responsibility

The Board of Directors (also referred to as the “Board”) shall govern the affairs of the Church and be responsible for setting policy, ensuring financial accountability, and guiding the Church’s mission.

Section 5.2 – Composition

The Board shall consist of no fewer than [insert minimum, e.g., five (5)] and no more than [insert maximum, e.g., nine (9)] directors. Directors need not be members of the Church unless required by law or this document.

Section 5.3 – Term and Election

Directors shall serve terms of [insert term, e.g., three (3) years] and are eligible for re-election. Elections shall be held at the annual business meeting or as provided by the Board.

Section 5.4 – Meetings and Quorum

The Board shall meet at least quarterly. A majority of the directors present shall constitute a quorum for the transaction of business. Notice of board meetings must be provided at least seven (7) days in advance.

Section 5.5 – Vacancies and Removal

Vacancies on the Board may be filled by a majority vote of the remaining directors. A director may be removed for cause by a two-thirds (2/3) vote of the Board.

Article VI: Officers

Section 6.1 – Titles and Election

The officers of the Church shall be elected by the Board of Directors from among its members and shall include, at a minimum:

  • President/Chairperson

  • Vice President/Vice Chairperson

  • Secretary

  • Treasurer

Section 6.2 – Term of Office

Officers shall serve a term of one (1) year and may be re-elected for successive terms.

Section 6.3 – Duties of Officers

  • President/Chairperson: Presides over meetings, represents the Church, and ensures the Board’s policies and resolutions are implemented.

  • Vice President/Vice Chairperson: Assists the President and assumes duties in the President’s absence.

  • Secretary: Keeps accurate records of meetings, maintains official documents, and handles correspondence.

  • Treasurer: Oversees the financial affairs of the Church, including budgeting, accounting, and reporting.

Article VII: Committees

Section 7.1 – Standing Committees

The Board may establish standing committees (e.g., Finance, Membership, Worship, Outreach) to carry out the ongoing work of the Church.

Section 7.2 – Ad Hoc Committees

Ad hoc committees may be created as needed by the Board to address specific issues or projects.

Section 7.3 – Committee Authority

Each committee shall operate under the guidance of the Board and report on its activities at Board meetings.

Article VIII: Fiscal Administration

Section 8.1 – Fiscal Year

The fiscal year of the Church shall be determined by the Board of Directors.

Section 8.2 – Budget and Financial Reports

The Board shall prepare an annual budget, which must be approved by the membership at the annual business meeting. Regular financial reports shall be provided to the Board and membership.

Section 8.3 – Audit

An independent audit of the Church’s financial records shall be conducted annually, or as required by law.

Article IX: Amendments

Section 9.1 – Amendments to the Bylaws

These bylaws may be amended by a two-thirds (2/3) majority vote of the Board of Directors at any regular or special meeting, provided that written notice of the proposed amendment is given to all directors at least ten (10) days prior to the meeting. Amendments affecting membership rights must also be approved by a majority of the membership at an annual or special meeting.

Article X: Dissolution

Section 10.1 – Dissolution of the Church

In the event of dissolution, any assets remaining after payment of debts and liabilities shall be distributed exclusively for charitable, religious, or educational purposes to one or more organizations organized under Section 501(c)(3) of the Internal Revenue Code, as determined by the Board of Directors.

Article XI: Indemnification

Section 11.1 – General

The Church shall indemnify any director, officer, employee, or agent who is involved in any proceeding by reason of the fact that they are or were a director, officer, employee, or agent of the Church, to the fullest extent permitted by law.

Article XII: Miscellaneous Provisions

Section 12.1 – Conflict of Interest

All directors, officers, and employees shall adhere to a conflict-of-interest policy that promotes the best interests of the Church and avoids personal gain from Church activities.

Section 12.2 – Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Church in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
